1 Agreement Overview

These Terms of Service govern your use of Helix Spark's marketing services. By engaging our services, you agree to these terms, which form a legally binding contract between you ("Client") and Helix Spark ("Agency").

These terms are designed like our marketing systems: clear, structured, and built for sustainable partnership. We believe transparent agreements compound trust over time.

2 Service Delivery

2.1 Scope of Services

Services are defined in individual Statements of Work (SOWs) which specify deliverables, timelines, and KPIs. Our services include but are not limited to:

  • Strategic marketing planning and consultation
  • Content creation and distribution systems
  • Search engine optimization (SEO)
  • Paid media campaign management
  • Social media strategy and execution
  • Analytics and performance reporting

2.2 Performance Expectations

Marketing results are influenced by market conditions, competition, and client-side factors. While we optimize for maximum performance, we don't guarantee specific results.

3 Client Responsibilities

Successful marketing requires partnership. Client agrees to:

  • Provide timely access to necessary accounts, data, and assets
  • Approve deliverables within agreed review periods
  • Make timely payments as specified in invoices
  • Provide constructive feedback within business days
  • Maintain business operations and product/service quality

Compounding Collaboration

Like our marketing systems, our partnership compounds in effectiveness. Your timely inputs directly impact the velocity and quality of outputs.

4 Financial Terms

4.1 Fees and Payment

Fees are outlined in proposals and SOWs. Standard payment terms:

  • Project-based work: 50% deposit to begin, 50% upon completion
  • Monthly retainers: Invoiced monthly in advance, due net 15
  • Ad spend/third-party costs: Billed at cost, due upon invoice

4.2 Late Payments

Payments overdue by 30+ days may result in service suspension. Late payments incur 1.5% monthly interest or maximum allowed by law.

5 Intellectual Property

5.1 Client Materials

Client retains ownership of all pre-existing materials and data provided to Helix Spark.

5.2 Deliverable Ownership

Upon full payment, Client receives license to use deliverables for their business. Helix Spark retains right to:

  • Include work in agency portfolio
  • Use anonymized performance data for case studies
  • Reuse methodologies and systems for other clients

6 Confidentiality

Both parties agree to protect confidential information including business strategies, financial data, and proprietary methodologies. Confidentiality survives termination of services.

7 Termination

7.1 Termination for Cause

Either party may terminate for material breach with 30 days written notice to cure.

7.2 Termination for Convenience

Monthly retainers may be terminated with 30 days written notice. Project-based work requires completion of current phase.

7.3 Post-Termination

Upon termination, Client pays for services rendered and expenses incurred. Deliverables completed up to termination date are transferred to Client.

8 Liability & Limitations

Helix Spark's total liability is limited to fees paid by Client in the 6 months preceding claim. Neither party liable for indirect, consequential, or punitive damages.
